1. Important notice and acceptance

Please read these Terms and Conditions (the “Terms”) carefully before accessing the PocketBuy mobile application (the “App”) or requesting or using any service made available through the App.

By accessing the App, registering an account, submitting an application, requesting a service, or clicking “Sign Up”, “Accept” or an equivalent button, you agree to be bound by these Terms, the PocketBuy Privacy Policy and any product-specific agreement or disclosure presented to you before you use the relevant service.

If you do not agree with these Terms or any part of them, do not access or use the App or the Services. You will not be able to use Services that require acceptance of these Terms.

We may amend these Terms from time to time. Changes will be published in the App or on our website and will take effect on the stated effective date. Where a change materially affects your rights or obligations, we will provide notice through an appropriate channel. Your continued use of the App or any Service after the effective date constitutes acceptance of the amended Terms, except where applicable law requires a different form of consent.

The App and its use may be monitored, logged and recorded for security, service delivery, fraud prevention, compliance and dispute-resolution purposes, subject to applicable law and the Privacy Policy.

PocketBuy is a consumer-facing brand of WEB-BRAINS INTEL TRADING GHANA LTD., a private company limited by shares incorporated in Ghana under Registration Number CS148830726 and TIN C0067629490. The Company’s PocketBuy business provides phone purchase and phone-installment services to consumers, subject to applicable Ghanaian law and the terms of the relevant product.

Where a registration, approval or other authorisation is required for a particular Service, that Service will be offered only to the extent permitted by the applicable authorisation and law. Product-specific disclosures may identify the applicable fees, merchant, payment partner, device-financing provider or other responsible entity.

Nothing in these Terms changes the terms of an Installment Agreement. If there is a conflict, the mandatory requirements of applicable law prevail and the product-specific Installment Agreement governs the relevant phone purchase or installment transaction to the extent of the conflict.

4. Licence to use the App

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the App and Services for your personal, lawful and non-commercial use, or for an expressly permitted small-business purpose.

You must not copy, reproduce, modify, adapt, sell, resell, distribute, publish, reverse engineer, decompile, create derivative works from, or commercially exploit the App or any part of it without our prior written consent. You receive no ownership interest in the App, its content, trademarks, software or other intellectual property.

All text, graphics, designs, logos, software, audio, video and other materials in the App are owned by or licensed to the Company or its affiliates and suppliers, unless stated otherwise. This licence ends automatically if you breach these Terms or if we terminate your access.

5. Restrictions on use

You must not:

  1. use the App or Services for an unlawful, fraudulent, abusive or unauthorised purpose;
  2. provide false, incomplete, misleading or outdated information;
  3. impersonate another person or allow another person to use your account;
  4. interfere with, disable, overload, damage or compromise the App, our systems or another user’s access;
  5. upload malware, viruses, harmful code or objectionable, defamatory or infringing material;
  6. attempt to gain unauthorised access to any account, system, data or network;
  7. use automated tools or manual processes to scrape, copy, monitor or reproduce App content without our written permission; or
  8. use the App in a manner that infringes our rights or the rights of any third party.

6. Access to and use of Services

The App and Services are intended for persons who are at least 18 years old and legally capable of entering into the relevant agreement. We may request evidence of age, identity, address, income, employment, affordability or other information before providing a Service.

We may approve, decline, limit, vary or withdraw a Service request based on eligibility, affordability, fraud, compliance, product availability, risk assessment or other lawful criteria. We are not required to provide a reason where applicable law does not require one, but we will provide any explanation or notice required by law.

Information displayed in the App, including indicative pricing, eligibility, deposit, installment dates or product availability, may change until a binding Installment Agreement or other product agreement is accepted. The final device price, deposit, installment schedule, fees, delivery terms and other obligations will be stated in the applicable agreement and disclosure shown before acceptance.

You are responsible for obtaining and maintaining the Device, connectivity, software, power and other equipment required to use the App. You must follow all instructions and security procedures communicated by us.

7. Purchase price, installments and payment safety

We may charge Transaction Fees in accordance with the relevant Installment Agreement and applicable law. The device price, deposit, installment amounts and dates, service or delivery charges, total amount payable and consequences of late or missed payment will be disclosed before you accept the relevant product and may be displayed in the App. The Services are limited to the purchase and installment payment of mobile phones and related device services.

You must make installment payments by the approved payment method and to the account or payment channel communicated by PocketBuy. Do not make a payment to a personal account or to any person who claims to represent PocketBuy without verification through our official support channel.

You must promptly notify us if you believe a payment instruction, account access, device order or transaction is unauthorised, incorrect or compromised. We may apply payments, reverse or investigate transactions, suspend payment channels and take other reasonable steps to protect you and the Company.

Late, missed or defaulted installment payments may result in charges or other consequences stated in the Installment Agreement and permitted by law. We may restrict account or device-related services, pursue amounts due under the Installment Agreement and take other lawful steps to manage unpaid installments.

8. Personal Information and permissions

We collect and process Personal Information in accordance with the Privacy Policy and applicable Ghanaian data-protection law (Data Protection Act, 2012 (Act 843)). This may include information needed to register, identify, verify, assess eligibility, provide and administer Services, process payments, prevent fraud, communicate with you, handle complaints and comply with legal obligations.

Depending on the Service and the permissions you grant, information may include identity and contact details, bank or payment information, employment and income information where needed for affordability, transaction details, device and application information, approximate location, information submitted during verification, and information obtained from authorised Service Providers.

The App will request device permissions only where needed for a stated purpose and, where required, with your consent. You may manage permissions through your Device settings. Refusing a permission may prevent us from providing a Service where that permission is reasonably necessary for identity verification, fraud prevention, security or service delivery.

You authorise us, to the extent permitted by law, to verify information you provide, obtain relevant information from authorised Service Providers, use information for affordability and fraud assessment, provide Services, process payments, communicate with you, enforce agreements, investigate complaints and meet legal or regulatory requirements. Any sharing with third parties is governed by the Privacy Policy and applicable law.

You may withdraw consent where the law permits, but withdrawal may affect our ability to provide a Service or continue an application. We will handle access, correction, deletion, objection and other data-subject requests as described in the Privacy Policy.

9. Marketing communications

Subject to applicable law and your communication preferences, we may send service messages and, where you have provided the required consent or another lawful basis applies, marketing messages by in-App notification, email, SMS, WhatsApp, phone or other contact channel you provide.

You may opt out of marketing communications at any time. Opting out will not prevent essential service, security, transaction, installment or legal communications.

10. Account security and user responsibilities

You are responsible for keeping your Credentials, Device and account secure. Do not disclose your PIN, password, one-time code or other security information to any person, including someone claiming to be a PocketBuy employee or agent.

You must immediately contact us if you suspect that your Credentials have been disclosed, your Device has been lost or stolen, or your account or a transaction has been accessed or initiated without authority. We may require additional verification and may suspend or restrict access while investigating.

You must ensure that all information supplied to us is complete, accurate and current, and must update it when it changes. You are responsible for activity carried out through your account unless you have promptly reported unauthorised use and the applicable law provides otherwise.

11. Suspension and termination

We may suspend, restrict, vary or terminate your access to the App or any Service where reasonably necessary for security, fraud prevention, compliance, technical maintenance, suspected breach, non-payment, inaccurate information, regulatory direction, risk management or commercial reasons, subject to applicable law and any rights in your Installment Agreement.

Where appropriate, we may notify you and provide an opportunity to remedy a breach. Suspension or termination does not cancel amounts already due, accrued rights, confidentiality obligations, installment-payment duties or any other provision intended to survive termination.

You may stop using the App and request closure of your account, but account closure does not discharge outstanding obligations or prevent us from retaining information where required or permitted by law.

12. Service availability and events beyond our control

The App or Services may be unavailable, delayed, interrupted or limited due to network or telecommunications failure, Device failure, software errors, maintenance, cyber incidents, system overload, power failure, industrial action, government or court action, natural disaster, civil disturbance, epidemic, war or another event beyond our reasonable control.

We will take reasonable steps to restore affected Services, but to the extent permitted by law we are not responsible for loss caused solely by an interruption or delay beyond our reasonable control. You remain responsible for confirming whether an instruction or payment was successfully received.

13. Disclaimers and limitation of liability

The App and general information in it are provided on an “as available” and “as is” basis. We do not guarantee that the App will always be uninterrupted, error-free, secure or suitable for every Device, or that information not forming part of a binding product agreement is complete or current.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any consumer right that cannot be waived.

Subject to the preceding paragraph and applicable law, we are not liable for indirect, incidental, special or consequential loss, loss of profit, loss of opportunity, loss of anticipated savings, business interruption, or loss caused by your unauthorised, unlawful or negligent use of the App, your Device or your Credentials.

You must take reasonable steps to protect your account and make installment payments only through verified PocketBuy channels. We are not responsible for losses resulting from your voluntary disclosure of Credentials or payment to an unauthorised person, except to the extent the law provides otherwise.

You may contact PocketBuy in writing through the official support details below or through the support channel made available in the App. We may contact you through the App, email, SMS, phone, WhatsApp or the contact details you provided during registration.

We will handle complaints under our complaint-handling process and applicable law. If you are dissatisfied with our response, you may use any escalation route or regulator-recognised dispute process available to you under applicable Ghanaian law.

15. General terms

No delay or failure by either party to exercise a right is a waiver of that right. If any provision is invalid or unenforceable, it will be modified or severed only to the extent necessary, and the remaining provisions will continue in effect.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign, transfer, subcontract or otherwise deal with our rights and obligations, provided that doing so does not unlawfully reduce your rights.

These Terms, the Privacy Policy and any applicable Installment Agreement or product disclosure form the agreement between you and us concerning the relevant App or Service and supersede prior statements on the same subject, except for any binding representation that cannot lawfully be excluded.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Ghana, subject to any mandatory consumer-protection or other applicable law.

The parties will first use reasonable good-faith efforts to resolve a dispute through PocketBuy’s complaint process. If the dispute is not resolved, it may be referred to a court or other dispute-resolution forum with lawful jurisdiction in Ghana. Nothing in this clause prevents you from exercising a statutory right to complain to a competent regulator or seek urgent legal relief.

17. Privacy Policy

PocketBuy’s Privacy Policy explains how we collect, use, disclose, store and protect Personal Information. By using the App or accepting these Terms, you acknowledge that you have been given an opportunity to read the Privacy Policy. The current Privacy Policy will be made available in the App and at https://pocketbuy.global/gh/privacy-policy.html.
